Procedure flow

1. 01Choose the legal form

   The legal form is determined according to the number of partners, the size of the activity, and the desired liability regime.

2. 02Set the registered office

   The registered office is the official address for correspondence and management. It may be a rented office, a domiciliation service, or a personal address when legal conditions are met.

   • Lease agreement or domiciliation contract.
   • Copy of the identity card of the contract holder or manager.
3. 03Reserve the company name

   The commercial name is checked for availability through the National Business Register.

   • Copy of the national identity card.
   • One or more proposed company names.
4. 04Draft the articles of association

   The articles of association are the founding legal document governing the constitution and operation of the company.

   • Company name, registered office, and share capital.
   • Distribution of shares among partners.
   • Management method and appointment of the manager.
   • Copies of founders' identity cards.
   • Partner information and manager designation.
5. 05Deposit the share capital

   A bank account is opened in the name of the company under formation and the capital is deposited.

   Result: Share capital deposit certificate.

6. 06Complete tax registration

   A declaration is filed with the tax administration to obtain the tax identifier.

   • Company articles of association.
   • Share capital deposit certificate.
   • Registered office contract.

   Result: Official tax identifier.

7. 07Register with the National Business Register

   The complete file is submitted to obtain legal registration.

   • Signed articles of association.
   • Share capital deposit certificate.
   • Tax identifier.
   • Registered office contract.
   • List of partners and manager designation.

   Result: Unique company identifier and acquisition of legal personality.

8. 08Complete legal publication

   Essential company information is published in the official system to inform third parties and make it legally opposable.

9. 09Declare the company to social security

   The company is registered as an employer and employees are declared when applicable.

   Result: Declaration within 30 days from the start of activity.

10. 10Check specific authorizations

    Some regulated activities require prior authorization, including health, education, transport, and certain industrial activities.
